Terms of Service

Terms of Service

Effective Date: October 2026
Version: 1.3

Please read these Terms of Service (“Terms”, “Agreement”) carefully before using any application, service, technical due diligence platform, or blockchain protocol operated by Aligned Sovereign Intelligence Institute (“Aligned Institute”, “ALI”, “we”, “us”, “our”), a division of De Monroy Group LLC.

By accessing or using our Services—including the AI Technical Due Diligence (TDD) Platform, Fast-Audit Services, ALI Signals Platform, ABC / AIC / SAT tokens, and related smart contracts on Base Protocol—you agree to be bound by these Terms. If you disagree with any part of the Terms, you must not access or use the Services.

1. Acceptance of Terms

By accessing or using our Services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of any applicable jurisdiction. If you access or order Services on behalf of a company, organization, or investment syndicate, you represent and warrant that you are an authorized corporate officer or representative with the authority to bind that entity to these Terms.

2. Description of Services

ALI provides an integrated suite of artificial intelligence risk evaluation, market intelligence, and governance services:

  • AI Technical Due Diligence (TDD) & Fast-Audit Platform: Independent, automated, and operator-led technical diligence for investors, venture capital allocators, M&A buyers, and artificial intelligence startups. Services include the 72-Hour Fast-Audit, Institutional TDD Audits (Silver, Gold), Five-Pillar Diligence Scorecards, Verified Deck Badges, and cryptographic verification registry records.
  • ALI Signals Platform: A specialized enterprise application for AI risk intelligence, data orchestration, and automated alignment telemetry.
  • Blockchain Protocol Services: Smart contracts and token ecosystems—ABC (Aligned Beacon Capital), AIC (Aligned Institutional Capital), and SAT (Sovereign Asset Treasury)—deployed on Base Protocol (Layer 2).
  • Research Grant Platform: A milestone-driven grant curation and disbursement system for open-source AI safety research, governed by veABC conviction voting and Authority Score credentialing.

3. AI Technical Due Diligence (TDD) & Fast-Audit Services

This Section 3 governs all orders, authorizations, and deliverables associated with ALI’s AI Technical Due Diligence (TDD), Fast-Audit, and related audit intake workflows.

(a) Diligence Framework & Five-Pillar Scorecard. All TDD and Fast-Audit assessments evaluate target systems using ALI’s standardized Five-Pillar Diligence Scorecard:

  • Pillar 1: Architecture Defensibility & IP Moat — Technical audit distinguishing proprietary models, custom fine-tuning, and robust RAG pipelines from commoditized “thin API wrappers.”
  • Pillar 2: Security & Adversarial Resilience — Rigorous digital stress testing aligned with OWASP Top 10 for LLMs and NIST AI RMF 1.0, including prompt injection, jailbreaks, DOM secret exposure, and guardrail bypass resilience.
  • Pillar 3: Runaway Execution Loops & Autonomous Recursion — Evaluation of autonomous agent recursion boundaries, state machine termination guarantees, Denial-of-Wallet (DoW) exposure, and runaway API token consumption risks.
  • Pillar 4: Data Lineage, Provenance & Sovereignty — Audit of training data provenance, copyright risk exposure, tenant data isolation, zero-retention compliance, and PII leakage prevention.
  • Pillar 5: Regulatory Compliance & Governance — Assessment against the EU AI Act (high-risk conformity requirements), ISO 42001, organizational key-man dependencies, and technical debt allocation.

(b) Testing Authorization & Non-Destructive Warranty. By submitting target system endpoints, URLs, repositories, or system prompts for audit, Client grants ALI authorization to perform automated and manual adversarial stress testing against the designated assets. ALI warrants that all security testing is designed to be strictly non-destructive and will not execute volumetric Distributed Denial-of-Service (DDoS) attacks. Client is solely responsible for ensuring that submitted endpoints are staging or non-production environments and for configuring appropriate test API keys, quotas, and backend rate limits.

(c) Zero AI Model Training Warranty. ALI explicitly warrants that no Client confidential information—including proprietary source code, system prompts, guardrail instructions, test inputs, model responses, API outputs, or test telemetry—will ever be used to train, retrain, or fine-tune public, commercial, or foundation artificial intelligence models. Client intellectual property remains strictly confidential at all times.

(d) Telemetry Purge Schedule. All volatile testing data, raw request/response payloads, staging credentials, and execution logs will be permanently deleted and purged from ALI testing infrastructure within fourteen (14) business days following delivery of the final audit report.

(e) 72-Hour Turnaround SLA. Fast-Audit orders carry a 72-Hour Turnaround SLA, commencing once Client has completed the intake questionnaire, verified endpoint connectivity, and authorized testing. Final deliverables comprise an Executive Verdict Scorecard (PDF), Five-Pillar risk breakdown, and cryptographic verification registration.

(f) Fees, Payment & 100% Series A Diligence Credit. Fast-Audit fees ($3,500 for Seed Tier; $4,999 for Growth Tier) are flat fees due upfront upon order placement via our authorized payment processor (Stripe) or approved invoice. Fees are non-refundable once testing has commenced. Under the 100% Series A Diligence Credit, 100% of the Fast-Audit fee paid is creditable toward an ALI Institutional Silver ($15,000) or Gold ($50,000) TDD Audit executed within twelve (12) months of invoice date.

(g) Cryptographic Verification Registry & Badging. Audit recipients are issued a unique Audit ID and digital verification record published to ALI’s public verification portal (https://aligned-institute.com/verify). The public verification portal displays exclusively high-level metadata (Audit ID, Target Organization/Project Name, Date of Issuance, Status/Verdict, and SHA-256 report fingerprint). Full detailed reports, vulnerability findings, and proprietary telemetry remain strictly confidential to Client and authorized stakeholders.

(h) Nature of Diligence Findings & Non-Reliance. Diligence verdicts (such as CONDITIONAL ESCROW HOLD • ELEVATED RISK), valuation recalibration estimates, and recommended remediation milestone escrows represent independent technical assessments based on conditions observed during the audit window. TDD reports and scorecards do not constitute legal counsel, formal investment recommendations, underwriting guarantees, or statutory financial audit opinions. Investors, acquirers, and clients must conduct their own independent legal, commercial, and financial diligence.

4. Testnet Participation

Testnet Environment — No Legal Instrument, No Monetary Entitlement. ALI operates a testnet environment on Base Sepolia for protocol development and researcher onboarding purposes. The following conditions govern all testnet participation:

(a) No legal instrument created. Testnet participation—including the completion of grant submissions, the accumulation of Authority Score, or the recording of any contribution in any testnet ledger or smart contract—does not create a legal instrument, a security, a debt obligation, a monetary entitlement, or a right of redemption of any kind. No on-chain or off-chain record generated during testnet constitutes an enforceable claim against ALI or the ASIP protocol treasury.

(b) No monetary value. Testnet tokens and testnet records have no monetary value and are not redeemable for USD, USDC, or any other currency or digital asset, except as specifically defined in a separate, signed, counsel-approved Mainnet Activation Mechanism published by ALI upon mainnet launch.

(c) Mainnet honoring is discretionary and conditional. ALI intends, but does not legally commit, to honor verifiable testnet contributions through the mainnet grant disbursement mechanism. Any such honoring will be conditioned on: (i) the participant’s successful completion of KYC/AML verification; (ii) confirmation of Swiss FINMA domicile or applicable legal authorization; (iii) the participant’s eligibility under applicable sanctions and regulatory requirements at the time of mainnet disbursement; and (iv) on-chain verification via the published verifySubmission() protocol.

(d) No transfer or assignment. Any testnet contribution record, Authority Score accrual, or anticipated mainnet grant entitlement is personal to the registered participant and is non-transferable, non-assignable, and has no secondary market.

(e) Sybil and fraud disqualification. Participants determined, at ALI’s reasonable discretion with supporting on-chain or off-chain evidence, to operate multiple identities sharing beneficial ownership (“Sybil activity”) forfeit all associated testnet records and any anticipated mainnet entitlement. ALI reserves the right to apply this disqualification retroactively and to pursue recovery of any amounts disbursed in error as a result of Sybil activity or fraud.

(f) Testnet state not guaranteed. ALI makes no representation that Base Sepolia testnet state is permanent, that records will survive network resets or chain reorganizations, or that testnet data will be ported to mainnet in any form other than the published Mainnet Activation Mechanism.

5. User Responsibilities & Client Warranties

You agree to:

  • Use the Services only for lawful purposes in accordance with these Terms.
  • Provide accurate and complete information for account registration, TDD intake, KYC/AML verification, and grant submissions.
  • Warrant that you possess full ownership, control, or legal authorization to subject submitted applications, endpoints, and codebases to security stress testing.
  • Maintain the security of your account credentials, API tokens, and private cryptographic keys.
  • Comply with all applicable export controls, sanctions, and data privacy regulations.
  • Complete identity verification (KYC) and anti-money laundering (AML) screening as required by ALI prior to receiving any grant disbursement or token delivery.

Prohibited Activities:

  • Submitting target systems, URLs, or repositories for TDD testing without proper legal authorization from the asset owner.
  • Using the Services for unlawful conduct, money laundering, terrorist financing, or sanctions evasion.
  • Operating multiple accounts or identities sharing beneficial ownership to circumvent protocol participation limits or grant eligibility requirements (Sybil activity).
  • Attempting to disrupt or compromise the integrity of the Service or its underlying blockchain networks.
  • Reverse engineering or attempting to derive source code from any proprietary part of the Service.
  • Transferring or purporting to transfer any testnet contribution record, Authority Score accrual, or anticipated mainnet entitlement to any third party.

6. Blockchain & Digital Asset Risks

Acknowledgment of Risk: You acknowledge that blockchain technology, including Base Protocol and digital assets (ABC, AIC, SAT), involves significant risks, including but not limited to:

  • Regulatory Uncertainty: Changes in laws and regulations may impact the value and utility of tokens. ASIP operates under an evolving regulatory framework, targeting Switzerland (FINMA) for Phase 2 domicile, with Phase 1 operations governed under US regulations.
  • Token Phase Sequencing: ABC is a Phase 1 public governance token. AIC (Aligned Institutional Capital) is a Phase 2 private institutional instrument available only to accredited investors following ABC’s demonstrated viability. SAT in Phase 1 is USD stablecoins only; a commodity basket is a Phase 3 feature. Participation in Phase 1 does not guarantee access to Phase 2 or Phase 3 instruments.
  • Technical Risks: Software vulnerabilities, smart contract bugs, and network congestion.
  • Market Volatility: The value of digital assets can fluctuate significantly.
  • Irreversibility: Transactions on the blockchain are irreversible. Lost private keys cannot be recovered by ALI.

No Financial Advice: ALI does not provide investment, financial, or legal advice. You are solely responsible for your decisions regarding participation in the ASIP protocol.

Not a DAO. ASIP is not a decentralized autonomous organization. Governance combines on-chain veABC conviction voting with structured off-chain oversight conducted under the authority of Aligned Sovereign Intelligence Institute. On-chain votes serve as advisory inputs into a structured governance framework, not binding autonomous outcomes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR DE MONROY GROUP LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, THIRD-PARTY CLOUD/API INFERENCE COSTS INCURRED DURING TESTING, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE OR TDD DELIVERABLES.
  • THIRD-PARTY ACTIONS, COMMERCIAL TRANSACTIONS, OR INVESTMENT DECISIONS BASED ON TDD AUDIT VERDICTS OR SCORECARDS.
  • ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE.
  • ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
  • ANY HACK, SECURITY BREACH, OR MALICIOUS ATTACK TARGETING BASE PROTOCOL, CLIENT HOSTING PROVIDERS, OR ANY THIRD-PARTY WALLET OR EXCHANGE.
  • SMART CONTRACT FAILURES OR ISSUES WITH THE UNDERLYING BLOCKCHAIN INFRASTRUCTURE.
  • ANY LOSS OR FORFEITURE OF TESTNET RECORDS, AUTHORITY SCORE ACCRUALS, OR ANTICIPATED MAINNET ENTITLEMENTS ARISING FROM NETWORK RESETS, CHAIN REORGANIZATIONS, OR CHANGES TO THE MAINNET ACTIVATION MECHANISM.

IN NO EVENT SHALL ALI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A TDD OR FAST-AUDIT SERVICE EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO ALI FOR THAT SPECIFIC AUDIT ORDER.

8. Indemnification

You agree to defend, indemnify, and hold harmless ALI, De Monroy Group LLC, their affiliates, licensees, and licensors, and their respective employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney’s fees), resulting from or arising out of: (a) your access to or use of the Service; (b) your breach of these Terms; (c) any content, endpoints, codebases, or credentials you submit for TDD testing, including claims that you lacked proper authorization to test such systems; or (d) any Sybil activity or fraud attributable to your account.

9. Compliance & Global Access

ALI makes no representation that the Service is appropriate or available for use in all locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

Restricted Jurisdictions: Services may be restricted in certain countries subject to comprehensive sanctions or regulatory prohibitions, including OFAC-sanctioned jurisdictions, countries subject to EU, UK, or UN consolidated sanctions lists, and any jurisdiction where participation in the ASIP protocol or TDD audits would violate applicable law. ALI conducts automated sanctions screening on all wallet addresses, grant recipients, and institutional counterparties.

KYC/AML: ALI applies Know Your Customer (KYC) and Anti-Money Laundering (AML) screening in accordance with applicable financial regulations, voluntarily aligning grant disbursements with Financial Action Task Force (FATF) Recommendation 15 guidance. Full identity verification is required prior to any grant disbursement or token delivery. ALI is not a registered Virtual Asset Service Provider (VASP) in Phase 1.

10. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.

  • Arbitration: Any dispute arising from these Terms or the provision of TDD services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Austin, Texas. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing herein prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent unauthorized disclosure of confidential information or intellectual property infringement.
  • Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, collective, or representative action.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we make material changes, we will provide notice by updating the “Effective Date” at the top of this document and, where practicable, by direct notification to registered users. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
